Toknify — Terms & Conditions

1) Definitions

• Toknify refers to the website, apps, and services branded Toknify, including TOK10 features, Swap features, Bitcoin Card features, and Wallet features.
• Wallet refers to the browser-based, non-custodial wallet interface that may create/import a private key locally on your device and sign transactions.
• Swap Service refers to token swap functionality (including routes via third-party aggregators and on-chain contracts), which may include slippage, network fees, and execution risks.
• Bitcoin Card refers to Toknify’s prepaid BTC experience on BNB Smart Chain. It may involve BTCB (BEP20) or similar wrapped/pegged representations and is not Bitcoin mainnet custody.
• TOK10 refers to Toknify’s token/basket/index related features that interact with smart contracts and on-chain assets on BNB Smart Chain (chainId 56).

2) Acceptance of Terms

By accessing or using Toknify, you agree to these Terms and any policies referenced herein. If you do not agree, do not use Toknify.

3) Eligibility

You represent that you are legally permitted to use Toknify in your jurisdiction and that you will not use Toknify where prohibited. You are solely responsible for ensuring compliance with applicable laws.

4) Non-Custodial Wallet; Your Responsibilities

• You control your keys. Toknify does not take custody of your private keys, tokens, or funds.
• Local storage risk. Wallet data may be stored locally in your browser/device (e.g., local storage). Clearing browser data, reinstalling software, losing a device, malware, or unauthorized access can cause permanent loss.
• No password recovery. If you lose your private key/seed and do not have backups, Toknify cannot recover your funds.
• Security. You are responsible for device security, backups, safe storage of private keys, and preventing third-party access.

5) Blockchain Risks; Irreversibility

• Blockchain transactions are typically irreversible. Once broadcast/confirmed, Toknify cannot cancel, reverse, or refund transactions.
• You acknowledge the risks of hacks, smart contract bugs, oracle failures, extreme volatility, slippage, MEV/sandwich attacks, congestion, and network outages.
• You are responsible for verifying addresses, token contracts, decimals, and network/chain selection before sending.

6) Swap Service Terms

• Execution. Swaps may route through third-party APIs/aggregators and on-chain liquidity. Quotes are estimates and may change between quote and execution.
• Slippage. You may receive less than expected due to price movement, liquidity, or routing. Slippage settings range between 0.3% - 1.0% where available, and you accept execution risk.
• Fees. Toknify may charge service fees (e.g., percentage fees and/or minimum fees) and you are also responsible for network gas fees. Fee rules may depend on the selected route, token, and service mode.
• Failures. Swaps can fail due to approvals, gas, RPC/API issues, insufficient liquidity, token restrictions, or contract reverts. Failed swaps may still incur network fees.

7) Bitcoin Card Terms (BEP20 BTC Experience)

• Not a bank card. The Bitcoin Card experience is a crypto service flow and is not a regulated bank card unless explicitly stated otherwise.
• Token form. The service may involve BTCB (BEP20) or other wrapped/pegged BTC representations on BNB Smart Chain (BEP20). These assets are not Bitcoin mainnet custody and are distinct from native BTC; however, BTCB (BEP20) can be deposited and converted on Binance Exchange or any other exchange that supports BNB Smart Chain (BEP20) deposits.
• Automated direction. The service may choose activation/swap direction based on wallet balances (for example, stablecoins to BTCB or BTCB to stablecoins).
• Confirmations. Some fees or steps may occur after on-chain confirmations. You accept that timing depends on network conditions.

8) TOK10 Terms (Basket/Index/Token Features)

• Smart contracts. TOK10 features interact with smart contracts. Smart contracts can fail or behave unexpectedly.
• No guarantees. Toknify does not guarantee performance, value, price stability, diversification, yield, or results.
• Not investment advice. Toknify content, UI, allocations, or “weights” are informational and not investment recommendations.

9) Third-Party Services and Links

Toknify may integrate or rely on third-party infrastructure (RPC providers, blockchain explorers, swap aggregators, price feeds, etc.). Toknify is not responsible for third-party services, outages, incorrect data, or losses arising from their use.

10) Prohibited Use

• Using Toknify for illegal activity, fraud, money laundering, terrorist financing, or sanctions evasion is prohibited.
• You must not attempt to exploit, hack, overload, or reverse engineer Toknify, or interfere with normal operation.
• You must not use Toknify in a way that violates the rights of others.

11) Compliance, Taxes, and Reporting

You are solely responsible for determining and paying any taxes, duties, or reporting obligations arising from your use of Toknify and any on-chain activity.

12) No Warranties

Toknify is provided “as is” and “as available,” without warranties of any kind, including fitness for a particular purpose, merchantability, non-infringement, or uninterrupted availability.

13) Limitation of Liability

• To the maximum extent permitted by law, Toknify and its affiliates will not be liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, data, goodwill, or token value.
• Toknify will not be liable for losses caused by user error, incorrect addresses, compromised keys, smart contract failures, blockchain congestion, MEV, third-party outages, or market volatility.

14) Indemnification

You agree to indemnify and hold Toknify harmless from claims, liabilities, damages, losses, and expenses arising from your use of Toknify, your violation of these Terms, or your violation of any law or third-party rights.

15) Suspension and Termination

Toknify may suspend or terminate access to services at any time for security, legal, or operational reasons, including suspected prohibited use.

16) Changes to Terms

Toknify may update these Terms from time to time. Continued use after changes means you accept the updated Terms. The “Last updated” date reflects the latest revision.

17) Governing Law and Venue

These Terms are governed by applicable international laws and conflict-of-law principles, and any dispute shall be resolved in a competent court with jurisdiction, unless mandatory rules require otherwise.
